When you place an order for Products via the Site, you agree to provide accurate, current and complete information. We reserve the right to refuse or cancel any order for any reason (including errors in pricing or product description, or where we suspect fraudulent or illegal activity).
3.2 Pricing & Availability
All prices shown on the Site are in USD and exclude shipping, applicable taxes and duties unless stated otherwise. We endeavour to ensure all Product descriptions and pricing are accurate, but we do not guarantee that the Site is free of errors. If we discover an error in pricing after you have placed an order, we may contact you for instructions, and you may choose to proceed at the corrected price or cancel.
3.3 Payment
Payment must be made at the time you place the order. By submitting your payment information you represent and warrant that you are authorised to use the payment method you provide. We use third-party payment processors; their terms and privacy policies apply to payment processing.

4. Content & Intellectual Property
4.1 Ownership
All Content on the Site (including text, graphics, logos, icons, images, audio clips, data compilations and software) is the property of Elli + Pine or its licensors and is protected by copyright, trademark and other intellectual property laws. You may not use our trademarks or trade dress except with our prior written permission.
4.2 User-Generated Content
If you post, submit or upload any content to the Site (e.g., reviews, comments, photos), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute and display such content in any media. You represent and warrant that you own or have the necessary rights to that content and that its posting does not infringe any third-party rights or violate any law or these Terms.
4.3 Feedback
Any feedback, suggestions or ideas you provide regarding the Site or Products shall be deemed non-confidential and become our sole property.
5. Disclaimer of Warranties
The Site and all Products and Content are provided “as is” and “as available” without any representation or warranty of any kind, whether express, implied or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not guarantee that the Site will be uninterrupted, timely, secure or error-free, or that defects will be corrected.
6. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Elli + Pine, its affiliates, officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or relating to (i) your access to or use of or inability to access or use the Site or Products; (ii) any conduct or content of any third party on the Site; or (iii) unauthorized access, use or alteration of your transmissions or content. Our total cumulative liability for any claim under these Terms shall be limited to the amount you paid us in the twelve (12) months preceding the claim (or USD 100 if you have not purchased anything from us in that period).
7. Indemnification
You agree to indemnify, defend and hold harmless Elli + Pine, its affiliates, officers, directors, employees and agents from any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney’s fees) arising from: (i) your use of and access to the Site; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property rights or privacy rights; or (iv) any claim that your Content caused damage to a third party.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions. You agree that any disputes arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Lawrence County, Alabama.
If you are a resident of a jurisdiction that prohibits the choice of law or venue specified above, then this Section shall not apply to the extent prohibited.
You and we agree to attempt to resolve disputes amicably before resorting to formal legal action.
9. Severability & Waiver
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall remain in full force and effect. No waiver of any term or condition by us shall be considered a further or continuing waiver of such term or condition or any other term or condition.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time in our sole discretion. If a revision is material we will provide notice by posting a prominent notice on the Site (or by other reasonable means). By continuing to access or use the Site after any revisions become effective, you agree to be bound by the new Terms.
